Conduct

If you're using the Site on behalf of a third party, you represent that you're authorized to do so, and their use of the Site implies acceptance of these Terms. If you've been previously prohibited from accessing the Site or any affiliate websites, you may not access the Site.

Account Information: When creating an account, making a payment or submitting a design request, you must provide accurate and complete information. You are responsible for maintaining password confidentiality and account security. Your account is non-transferable and may not be shared. Failure to comply with these Terms, including maintaining accurate account information, may result in account cancellation at our discretion. By registering with Goodhappy Studio, you consent to receive communications regarding products, services, and updates.

Feedback: Any comments or suggestions including, but not limited to, notes, text, drawings, images, designs or computer programs, such submissions shall become, and shall remain, the sole property of Goodhappy Studio. We exclusively own all rights, including intellectual property rights, to such submissions and may use, publish, and disseminate them without acknowledgment or compensation to you.

Prohibited Conduct: You agree not to copy or imitate the appearance, design, or style of our Site or Content. The technology and software underlying our Site belong to Goodhappy Studio, our affiliates, and/or our partners. You agree not to:

Terms of sale

Products and/or Services: On the Site, you may find services available for purchase, collectively referred to as "Products and/or Services." Fees for these offerings are listed on the Site and must be paid at the time of booking, unless otherwise specified. Goodhappy Studio reserves the right to withhold Products and/or Services until fees are paid. All offerings are subject to these Terms of Use and our specific Services and Deliverables terms outlined below.

Subscription Services: Some Services may be offered on a subscription basis, with fees billed automatically monthly or as specified on the Site. You can cancel anytime, but no refunds will be issued for previous billing cycles. We'll provide Services as advertised, contingent upon your timely communication and feedback. Unused Services during your subscription are non-refundable.

Product and/or Service Descriptions: While we strive for accuracy and completeness on the Site, there may be occasional errors or inaccuracies due to browser, hardware, or technology differences. We apologize for any inconvenience caused by incorrect prices, descriptions, or item availability. We reserve the right to correct errors or update product information without notice.

Availability and Pricing: Goodhappy Studio reserves the right to modify prices and available Products and/or Services at any time. Some Products and/or Services may have limited quantities, and availability cannot always be guaranteed. While we strive for accuracy, occasional pricing errors may occur. If a Service's correct price exceeds the listed price, we will either confirm the correct price or cancel your order and notify you accordingly.

Purchasing Products and Services: The presentation of Products and/or Services on the Site invites you to make a purchase offer. Your order constitutes an offer, which we accept by providing the Products and/or Services or confirming your request. Any confirmation received after placing an order does not constitute acceptance and is subject to correction.

Orders: We reserve the right to refuse or limit orders and quantities. We are not liable for unavailable Services or rescheduled dates. Orders are non-cancelable; cancellation requests are at our discretion. We may provide similar Products or Services to fulfill.

Returns: Products and/or Services cannot be returned or substituted. All sales are final.

Cancellation: Monthly subscriptions for Social Media Plans can be cancelled anytime through stripes payment portal.

Payment: By making purchases, you authorize us (and any payment processor) to charge your payment card. We accept the forms of payment listed on the Site and charge your credit card upon order processing. Your credit card issuer may control fund release for cancellations or refunds. We may use your payment information to improve future service and safeguard against fraud. Completion of payment depends on providing necessary information, card authorization, and acceptance.

We may cancel it at any time, notifying you accordingly. Reasons for cancellation include breach of law, Terms, suspected fraud, excessive disputes, or failure to cooperate in an investigation.

Creative services & deliverables

If you hire Goodhappy Studio for creative design services and/or Deliverables, the following terms apply:

Point of Contact: You must designate a primary point of contact authorized to instruct us for the Services. By default, our Point of Contact will be the party communicating with us unless otherwise specified by you.

Communication: You must provide prompt feedback and requested information. Failure to do so may cause delays in Services and Deliverables.

Your Content: Your content remains your property. You grant us a limited license to use it for the Services.

Third-Party Materials: You're responsible for Third-Party Materials, including obtaining licenses and permissions.

Preliminary Works: We own Preliminary Works arising from the Services, excluding Your Content or Third-Party Materials.

Goodhappy Content: We own our content. Upon completion of Services and payment, you have the right to use it solely for intended purposes.

Assignment of Deliverables: Upon completion and payment, you own logo and brand Deliverables, excluding Third-Party Materials, Preliminary Works, and Goodhappy Content.

Social Media Templates: Templates on our shop grants a personal use license for each digital template purchased, allowing you to create and distribute a finalized product via your personal website, email marketing platform, or social media channels. You do not own the templates or the designs. Templates and its content cannot be resold. Sharing, selling, or redistribution of the files and templates is not permitted.

Accreditation: You agree to credit Goodhappy across all platforms where Deliverables are used.

Promotion: We may reproduce and display Deliverables for promotional purposes with your consent.

Artistic Release: Creative services are subjective. We'll use our judgment, and dissatisfaction with aesthetics isn't grounds for termination or refund.

Limitations on Warranties: We'll perform Services professionally but don't guarantee specific results. You have 30 days to report objective errors for correction.
